Filing with the Indiana Secretary of State
Whitmore Law Office attempts to have the necessary paperwork to create a Limited Liability Company or Corporation on its way to the Secretary of State in 24 hours after the decision is made on the form of business. Several other matters may take some continued discussion, but as it usually takes one to two weeks to gain approval by the Secretary of State’s office for either a Corporation or Limited Liability Company, we can get the business form chosen, named and on its way to the Secretary of State while other discussions continue as to the business operation within that business form.
Generally the information needed to file for an approval of that business form is the name of the resident agent or contact, the address of the resident office, not necessarily the address from which the entity does business, and a name for the business which is dissimilar to other business names already recorded with the Secretary of State’s office.
The business name is very important and great care should be taken in its choice. A couple of alternatives should also be chosen in case that name is too close to other names already registered with the Secretary of State.
If you have been carrying on business in your own name or some other business name, try to use that or something very similar to gain the most from the reputation you have worked hard to establish. If the name you have used is not available, then some creative thought might well find a name very similar that will work. Whitmore Law Office checks the name on the Secretary of State’s website prior to forwarding it, so that the name is not rejected , which could cause a delay to the new business. No name is finally accepted until received by the Secretary of State, but in only very few instances have they disapproved a name that received a preliminary indication of approval before being sent. To date, none we have submitted have been rejected.
